00:00:00.000 --> 00:00:04.559
We're going to wrap up this week with why most venture funds don't normally lead.

00:00:05.370 --> 00:00:07.830
There's a number of reasons, and I'm going to run through these very quickly.

00:00:08.320 --> 00:00:10.689
The first is that you don't know what you don't know.

00:00:11.470 --> 00:00:21.039
There's an old saying that venture is an apprenticeship business and a venture fund that has led multiple rounds, has the knowledge of all of the things that they need to be on the lookout for.

00:00:21.609 --> 00:00:24.640
If you haven't led before, you don't know what to look for.

00:00:25.420 --> 00:00:27.820
The unknown unknowns could really get you.

00:00:28.820 --> 00:00:47.579
Second, it's a ton of work and for a small fund, especially for a sub$50 million fund, with limited resources and limited staff, doing the extra work to go deep down your due diligence checklist, it takes you off of the ball for the rest of the work that you have to do as a venture fund.

00:00:48.329 --> 00:00:51.149
And the work aside there's more to it than just that.

00:00:51.753 --> 00:00:56.792
One of the real risks is being stuck with legal bills if the round falls through.

00:00:57.323 --> 00:01:05.362
You probably already know this, but when a funding round comes together, the startup pays for the legal bills for both the venture fund and for themselves.

00:01:05.862 --> 00:01:10.840
However, if the round falls apart, each side pays for their own legal bills.

00:01:11.340 --> 00:01:21.966
For a small$25 million fund, like SpringTime Ventures, if this round didn't go through we would have been stuck with those legal bills and they literally would have come out of my pocket.

00:01:22.447 --> 00:01:27.727
Because we would not have had enough in the management budget to both pay the lawyers and to pay my salary.

00:01:28.387 --> 00:01:32.826
And so there was a very real risk of this impacting me personally.

00:01:33.867 --> 00:01:43.510
So when you add in the unknown unknowns, And the potential of being stuck with legal bills in the absolute worst case scenario, that's a lot of risk for a small fund to take on.

00:01:44.688 --> 00:01:47.118
And finally there's a reputational risk.

00:01:47.248 --> 00:01:49.138
You run the risk of looking like a fool.

00:01:49.618 --> 00:01:52.259
I talk about FOLS, fear of looking stupid.

00:01:52.828 --> 00:01:53.759
That risk is strong.

00:01:54.509 --> 00:02:00.058
You're putting your name and your reputation, both personally and for your fund, out there on a limb.

00:02:01.019 --> 00:02:03.058
And man I'll tell you it was hard.

00:02:03.718 --> 00:02:09.449
There were times when we, as a fund pitching this to other funds would just get rejection after rejection.

00:02:10.019 --> 00:02:11.878
There were some times when I felt pretty stupid.

00:02:12.929 --> 00:02:23.008
Of the nearly 150 venture funds that said no to this round, which is pretty typical for an early seed round, most of those"no's" came from our team's relationships.

00:02:24.058 --> 00:02:31.679
I was right down there in the trenches with Moxey's CEO, Charlie, helping him pitch, and feeling those rejections on a very personal level.

00:02:32.408 --> 00:02:41.199
And I feel for you founders, as you go out and face down those 150 plus no's, just to get to a few key yeses to get it across the line.

00:02:42.257 --> 00:02:46.993
